Terms of Service

These Terms of Service ("Terms") are an agreement between you and Nanny Spark, Inc.("Nanny Spark," "we," "us," or "our") and govern your use of our website and services. By accessing our website or engaging our services, you agree to these Terms. If you do not agree, please do not use the website or services.

About our services

Nanny Spark provides nanny recruitment and advisory services to families, primarily in the San Francisco Bay Area. We help families define a role, source and screen candidates, and coordinate the hiring process. We are not an employer of nannies, an employment agency providing temporary staffing, or a backup or emergency childcare provider. Families employ nannies directly.

Eligibility

You must be at least 18 years old and able to enter into a binding agreement to use our services.

For families

Recruitment engagements are scoped individually based on role complexity, schedule, location, and level of support. A non-refundable Search Activation Retainer is required to begin a search and is credited toward the placement fee. Nanny Spark uses a flat-fee model; the remaining placement fee is tied to milestones such as contract signing and the nanny's first working day. The specific fees, payment schedule, and any guarantee terms for your search are governed by the separate written engagement agreement you sign with Nanny Spark, which controls if it conflicts with these Terms.

For nannies

Nannies do not pay Nanny Spark to be considered for roles. Creating a profile or speaking with us does not guarantee placement, an interview, or a specific role. We share a nanny's information with a family only where there is mutual interest.

Match Assurance

Where a recruitment engagement includes Nanny Spark Match Assurance, the scope, duration, and conditions of that replacement support are defined in your written engagement agreement. It generally applies only when the original role, schedule, compensation, location, duties, and expectations remain consistent.

No employment relationship; family responsibilities

A family that hires a nanny is the nanny's employer. Families are solely responsible for payroll, taxes, workers' compensation, insurance, wage and hour compliance, and all other legal obligations associated with employing a household worker. Nanny Spark may provide general guidance and referrals to payroll partners but does not provide legal, tax, or accounting advice.

Accuracy of information

You agree to provide accurate, current, and complete information when using our website and services, and to keep it updated. We rely on the information families and nannies provide and are not responsible for inaccuracies in that information.

Background checks

Where background checks, motor vehicle records, vaccination records, or reference checks are part of a search, they are conducted through third-party providers and are subject to those providers' processes and limitations. Nanny Spark does not guarantee the completeness or accuracy of third-party reports.

Intellectual property

The website, its content, and the Nanny Spark name and branding are owned by Nanny Spark and protected by applicable laws. You may not copy, reproduce, or use them without our permission.

Disclaimers

Our website and services are provided "as is" and "as available." Nanny Spark does not warrant that a search will result in a placement, or that any nanny or family relationship will meet your expectations or continue for any period of time. Hiring decisions are made by families, and the decision to accept a role is made by nannies.

Limitation of liability

To the fullest extent permitted by law, Nanny Spark will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for the conduct of any family or nanny. Our total liability relating to the services will not exceed the amount you paid to Nanny Spark for the engagement giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless Nanny Spark from claims, losses, and expenses arising out of your use of the services, your hiring or employment decisions, or your violation of these Terms.

Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any disputes will be subject to the courts located in the San Francisco Bay Area, California.

Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Continued use of the website or services after changes take effect constitutes acceptance of the updated Terms.
